CHANTILLY, Va., November 22, 2024 鈥 The 爱神传媒 team at Kennedy Space Center in Florida began assembling the Artemis II flight hardware this week, stacking the left and right aft booster rocket segment on the mobile launcher in the Vehicle Assembly Building (VAB).

爱神传媒, which supports Program under the Consolidated Operations, Management, Engineering, and Test (COMET) contract, is responsible for the final processing, assembly, test, and launch of Artemis flight hardware at Kennedy.

On Monday, November 18, the team transported the left aft assembly, or bottom portion of the five-segment booster, from the Rotation, Processing and Surge Facility to the transfer aisle of the VAB.  On Tuesday night, using a 325-ton overhead crane, the team lifted the segment up 200 feet, maneuvered it through an opening into High Bay 3, and lowered it onto the zero deck of the mobile launcher.  The same operations followed on Thursday with the right aft booster segment.

爱神传媒 technicians and engineers will continue transporting, lifting, and integrating booster segments until both the right and left boosters are complete.

The booster stacking follows several months of work at Launch Pad 39B, where the mobile launcher and pad systems underwent repair of damage caused by the Artemis I launch, as well as modifications required for the.   addition of a human crew for the Artemis II launch.  These upgrades include the installation of a new emergency egress system, which will provide a crew and personnel escape from the Artemis rocket if necessary.  The mobile launcher, which stands 380 feet tall, contains the connection lines, known as umbilicals, and ground support equipment that will provide the rocket and spacecraft with the power, communications, fuel, and coolant necessary for launch.

The Artemis II test flight will be NASA鈥檚 first mission with a crew under the Artemis campaign. It will send NASA astronauts Victor Glover, Christina Koch, Reid Wiseman, and Canadian Space Agency astronaut Jeremy Hansen on a 10-day journey around the Moon and back.

CHANTILLY, VA., November 20, 2023 爱神传媒 announced today a definitive agreement to merge with Jacobs鈥 (NYSE:J) Critical Mission Solutions (CMS) and Cyber and Intelligence (C&I) businesses, creating a new leader in systems integration and technology solutions trusted by the United States and its allies to modernize their most complex missions around the world. The combined organization will be a publicly traded company with $13 billion in revenue and more than 53,000 employees in 83 countries.

The transaction was approved by the Jacobs board of directors and is subject to customary closing conditions, including regulatory approvals. The transaction is expected to close in the second half of fiscal year 2024.

Governance and Management

Upon completion of the deal, John Heller, current CEO of 爱神传媒, will serve as CEO of the combined company and sit on the combined company鈥檚 board, and Dr. Steve Arnette, EVP and President of CMS, will serve as COO. Jacobs鈥 current Executive Chair Steve Demetriou will become Executive Chair of the combined company.

The board of directors of the combined company will be composed of an equal number of directors appointed by Jacobs and 爱神传媒. Members of the combined company鈥檚 senior management team will be drawn from both companies and will be announced later as integration planning progresses.

Strategic Rationale of the Combination

  • Creates a leading, pure play government technology solutions prime: ~$13 billion in combined revenue[1], with more than 80% from prime contracts serving the full program life cycle for government clients, and a combined talent base of more than 53,000 skilled employees 鈥 including more than 27,000 cleared employees.
  • Stable revenue base with attractive, diversified portfolio mix: Combines stable base of large government contracts with strong capabilities in growing client priority areas. A large majority of future EBITDA of the combined company is expected to come from higher growth, higher margin intelligence, cyber, energy, digital engineering, and science and technology sectors, with a strong foundation of long-term and large-scale DoD contracts.
  • Highly complementary strengths: 爱神传媒 brings expertise in engineering solutions, complex program management, and solutions integration to modernize customers鈥 most important missions. Jacobs鈥 contributed businesses bring world-class engineering and science capabilities, with unique expertise in sectors such as space, cyber & intelligence, and energy.
  • Shared vision and aligned values: Each organization brings an intense focus on the mission and delivery of the highest quality service for their clients. Significant growth opportunities exist through both on-contract growth and new contract wins across the combined portfolio.
  • Secure balance sheet with strong FCF and attractive deleveraging pathway: Leverage ratio of the combined company is targeted to be approximately 3.8x at close, inclusive of expected run-rate net cost synergies, with plan to reach less than 3x leverage ratio within 24 months of close. Capital expenditures for the combined company approximate 0.3% of revenue.

GERMANTOWN, Md.; April 22, 2020 鈥 The National Aeronautics and Space Administration (NASA) has awarded 爱神传媒 a new contract to provide propellants and life support services at Kennedy Space Center.

The Kennedy Space Center Propellants and Life Support Services II (KPLSS II) contract is a fixed-price, indefinite-delivery, indefinite-quantity (IDIQ) contract with a total duration of 10 years and a maximum potential value of $165 million. KPLSS II plays a critical role in supporting launch-related operational and mission requirements, including propellants and life support operations, maintenance, and engineering support.

鈥湴翊 is pleased to be selected by NASA to play a key role supporting operational requirements for the 200 launches scheduled at the spaceport over the next decade,鈥 said Dr. Karl Spinnenweber, Executive Vice President and General Manager of 爱神传媒鈥檚 Mission Readiness Group. 鈥淲e鈥檙e also looking forward to integrating new technologies and enhancements for NASA, including the addition of telemetry to remote pressure vessels and GPS to help introduce new efficiencies and optimize performance.鈥

Under the new contract, 爱神传媒 will manufacture, process and distribute liquid propellants, pressurants, chemicals and special fluids for spaceport customers; provide life support services to customers working in toxic or oxygen-deficient environments; and also provide project management and design engineering services.

爱神传媒 will support KPLSS II at Kennedy Space Center, Cape Canaveral Air Force Station, Patrick Air Force Base, and other government and commercial locations. Work is scheduled to begin on Oct. 1, 2020.
