��ý Secures COSMIC Contract to Enhance NASA’s Space Infrastructure

CHANTILLY, Va., February 6, 2025 – ��ý (NYSE: AMTM), in collaboration with Chugach Government Solutions (CGS) through the Nova Space Solutions (NSS) Joint Venture, has been awarded Consolidated Operations, Services, and Maintenance Infrastructure Contract (COSMIC) at and Michoud Assembly Facility (MAF). On COSMIC, ��ý will deliver advanced technologies to elevate operational innovation for our national space infrastructure.

With a contract value of $822.7 million, the COSMIC contract is scheduled to start operations in July 2025 and extend over 8 years. As part of this project, NSS will deliver essential facility solutions, engineering and manufacturing capabilities, contract management, logistics, facility operations, and environmental solutions.

��ý Selected to Design New Facility for UK Space Industry

Gravity Offload System will be used to simulate satellites and space craft in orbit

CHANTILLY, VA., January 21, 2025 — ��ý (NYSE: AMTM) has been selected to provide the UK with specialist equipment to simulate conditions in space to improve zero-gravity operations and enhance mission safety.

The company’s robotics specialists will design an in-space servicing, assembly and manufacturing gravity offload system for use by satellite and space craft manufacturers and operators.

The Satellite Applications Catapult (SAC) awarded the contract to ��ý after competitive bidding. The system is due to be delivered by March 2025.

“We will use our strengths in robotics and technology to create a new facility that will help our client advance its vision to create a robust and interconnected UK Space Ecosystem fostering innovation, growth, collaboration and technological advancement,” said Andy White, Senior Vice President of ��ý Energy & Environment International.

The gravity offload system is a gantry that minimizes the effect of gravity on a suspended object to simulate the conditions encountered in-orbit. The system will be used to develop control systems and hardware for docking and capture systems to ensure effective operation in orbit and reduce the risk of mission failures.

Integrating commercial off-the-shelf hardware with an innovative design to deliver a robust and comprehensive solution, ��ý will design, qualify and install the system on the client’s site. Cost-efficient modular design and agile methodologies will be used to deliver the project.

The new system is part of a major investment in the Satellite Applications Catapult facility at the Westcott Space Cluster in Aylesbury, Buckinghamshire, where companies can verify, validate and demonstrate a range of in-orbit operations including manufacturing, servicing, inspection, repair and assembly. Funding for the upgrade project was provided by UK Space Agency.

��ý KSC Team starts Artemis II Stacking

CHANTILLY, Va., November 22, 2024 – The ��ý team at Kennedy Space Center in Florida began assembling the Artemis II flight hardware this week, stacking the left and right aft booster rocket segment on the mobile launcher in the Vehicle Assembly Building (VAB).

��ý, which supports Program under the Consolidated Operations, Management, Engineering, and Test (COMET) contract, is responsible for the final processing, assembly, test, and launch of Artemis flight hardware at Kennedy.

On Monday, November 18, the team transported the left aft assembly, or bottom portion of the five-segment booster, from the Rotation, Processing and Surge Facility to the transfer aisle of the VAB. On Tuesday night, using a 325-ton overhead crane, the team lifted the segment up 200 feet, maneuvered it through an opening into High Bay 3, and lowered it onto the zero deck of the mobile launcher. The same operations followed on Thursday with the right aft booster segment.

��ý technicians and engineers will continue transporting, lifting, and integrating booster segments until both the right and left boosters are complete.

The booster stacking follows several months of work at Launch Pad 39B, where the mobile launcher and pad systems underwent repair of damage caused by the Artemis I launch, as well as modifications required for the. addition of a human crew for the Artemis II launch. These upgrades include the installation of a new emergency egress system, which will provide a crew and personnel escape from the Artemis rocket if necessary. The mobile launcher, which stands 380 feet tall, contains the connection lines, known as umbilicals, and ground support equipment that will provide the rocket and spacecraft with the power, communications, fuel, and coolant necessary for launch.

The Artemis II test flight will be ��’s first mission with a crew under the Artemis campaign. It will send NASA astronauts Victor Glover, Christina Koch, Reid Wiseman, and Canadian Space Agency astronaut Jeremy Hansen on a 10-day journey around the Moon and back.

CHANTILLY, Va., October 7, 2024 – ��ý (NYSE: AMTM) was awarded the Fully Integrated Lifecycle Mission Support Services II (FILMSS II) contract by NASA with a maximum value of $256 million to spearhead cutting-edge technologies and manage groundbreaking science projects in support of ��’s exploration and aeronautics objectives at the Ames Research Center. CHANTILLY, VA., November 20, 2023 – ��ý announced today a definitive agreement to merge with Jacobs’ (NYSE:J) Critical Mission Solutions (CMS) and Cyber and Intelligence (C&I) businesses, creating a new leader in systems integration and technology solutions trusted by the United States and its allies to modernize their most complex missions around the world. The combined organization will be a publicly traded company with $13 billion in revenue and more than 53,000 employees in 83 countries.

The transaction was approved by the Jacobs board of directors and is subject to customary closing conditions, including regulatory approvals. The transaction is expected to close in the second half of fiscal year 2024.

Governance and Management

Upon completion of the deal, John Heller, current CEO of ��ý, will serve as CEO of the combined company and sit on the combined company’s board, and Dr. Steve Arnette, EVP and President of CMS, will serve as COO. Jacobs’ current Executive Chair Steve Demetriou will become Executive Chair of the combined company.

The board of directors of the combined company will be composed of an equal number of directors appointed by Jacobs and ��ý. Members of the combined company’s senior management team will be drawn from both companies and will be announced later as integration planning progresses.

Strategic Rationale of the Combination

Creates a leading, pure play government technology solutions prime: ~$13 billion in combined revenue[1], with more than 80% from prime contracts serving the full program life cycle for government clients, and a combined talent base of more than 53,000 skilled employees – including more than 27,000 cleared employees.
Stable revenue base with attractive, diversified portfolio mix: Combines stable base of large government contracts with strong capabilities in growing client priority areas. A large majority of future EBITDA of the combined company is expected to come from higher growth, higher margin intelligence, cyber, energy, digital engineering, and science and technology sectors, with a strong foundation of long-term and large-scale DoD contracts.
Highly complementary strengths: ��ý brings expertise in engineering solutions, complex program management, and solutions integration to modernize customers’ most important missions. Secure balance sheet with strong FCF and attractive deleveraging pathway: Leverage ratio of the combined company is targeted to be approximately 3.8x at close, inclusive of expected run-rate net cost synergies, with plan to reach less than 3x leverage ratio within 24 months of close. CHANTILLY, Va.; May 24, 2023 – ��ý earned a highly-competed spot on the $250 million U.S. Naval Air Warfare Center Weapons Division (NAWCWD) multiple award indefinite-delivery/indefinite-quantity contract to modernize test and training infrastructure instrumentation systems. Under task and delivery orders, ��ý will deliver advanced engineering and technical solutions for long-term sustainment of weapons testing systems, along with naval studies, analysis, and site surveys.

Under this contract, ��ý provides test and training solutions to include airborne and ground-based elements, interfaces, and support to auxiliary equipment. These supported systems include remote ground stations, data collection systems, data processing and display systems, host range interface equipment, testing and troubleshooting hardware. ��ý will also support validation of articles under test through various hardware and instrumentation systems. Additionally, ��ý will provide full-spectrum solutions to include long-term sustainment of both existing test and training range systems, and new cutting-edge instrumentation systems as they are designed, developed, fielded, and integrated. Finally, the company will provide onsite and in-plant engineering and technical solutions, along with studies, analyses, and site surveys for the Navy customer.

GERMANTOWN, Md.; September��7, 2022 –��The��U.S. Space Force’s Space Launch Delta 30 at Vandenberg Space Force Base has awarded ��ý a $59 million contract to leverage leading-edge solutions to manage unconventional fuels for commercial and government space launch programs.

“Our 14-year performance on the Florida Space Coast as a critical partner to NASA, the U.S. Air & Space Forces, and commercial launch providers has established ��ý as the premier partner to and developer of new capabilities for the space launch industry,” said��Dr. Karl Spinnenweber, President of ��ý’s Critical Missions Group. “Our extensive expertise in leveraging the latest technologies and industry best practices in unconventional fuels management, storage and delivery will ensure our team meets the high-consequence mission of safeguarding U.S. and allied interests in space.”

Under this contract, ��ý will provide management, science, and engineering on commercial and government launch systems with unconventional fuels, including hypergolics, cryogenic and pneumatic commodities used in rockets, missiles, and space craft payloads. ��ý efforts towards launch systems will provide fuels accountability, personnel protective equipment management, hazardous operations, fleet management, systems and safety engineering, and training. ��ý will also provide transient alert aircraft solutions.

Understanding and safely managing the risks of space launch systems has resulted in ��ý successfully supporting over 200 launch events from the Kennedy Space Center and Cape Canaveral Space Force Station throughout the past 14 years.

Work will be performed at Vandenberg Space Force Base, Calif. for Space Launch Delta 30, and at Patrick Space Force Base, Fla. and Cape Canaveral Space Force Station, Fla. for Space Launch Delta 45. The contract term is seven years and five months and begins October 1, 2022.

��ý Wins Range Services Contract Supporting the Navy’s Atlantic Undersea Test and Evaluation Center

GERMANTOWN, Md.; January 11, 2022 – The Naval Undersea Warfare Center, Newport has selected ��ý, a leading contractor to U.S. federal and allied governments, to provide range operations and maintenance support services under a new contract worth up to $462 million.

The 10-year contract will support the Atlantic Undersea Test and Evaluation Center (AUTEC), the Navy’s large-area, deep-water, undersea test and evaluation range. AUTEC’s activities include underwater research, testing and evaluation of anti-submarine weapons, and sonar tracking and communications.

Work will be performed on Andros Island, Commonwealth of the Bahamas, and West Palm Beach, Fla.

GERMANTOWN, Md.; July 14, 2021 – The Air Force Life Cycle Management Center has selected ��ý, a leading contractor to U.S. federal and allied governments, to provide infrastructure, supporting tools and services for its threat radar systems and combat training ranges under a new indefinite-delivery, indefinite-quantity (IDIQ) contract.

The Range IDIQ Support Effort (RISE) multiple award contract has a maximum value of $950 million over five years.

��ý will compete for task orders related to not only threat radar systems and combat training ranges, but also support for joint threat emitter platforms and modernization programs of the Air Force’s range threat systems branch.

“��ý is pleased to be included among the companies awarded a position on the RISE IDIQ, which will allow the Air Force to support and modernize its range threat systems,” said Greg Ihde, senior vice president of ��ý’s Operations, Warfighter Support Sector. “We look forward to bringing our deep experience as the premier test and training range provider to support the service’s needs on an as-required basis.”

Work will take place where needed as directed from Hill AFB, Utah.
