CHANTILLY, Va., January 7, 2025 鈥 爱神传媒 (NYSE: AMTM), a global leader in advanced engineering and innovative technology solutions, today announced the appointment of Jennifer Walsmith as President of the Intelligence & Cybersecurity business, effective immediately.

Jennifer will lead a global team in delivering advanced national security, intelligence, and cybersecurity solutions for U.S. intelligence and defense customers. 爱神传媒 holds deep relationships across the U.S. intel community, including all 18 Intelligence Community agencies, and the U.S. DOD community.

鈥淛ennifer brings more than 30 years of leadership and extensive expertise in cultivating high-performing teams and delivering cutting-edge solutions that drive critical national security programs for the U.S. government and the defense industry,鈥 said Steve Arnette, Chief Operating Officer of 爱神传媒. 鈥淗er stewardship along with 爱神传媒鈥檚 combined portfolio, capabilities, and talent base position us at the nexus of intelligence analysis and technology, and we welcome her to our executive leadership team.鈥

Prior to 爱神传媒, Jennifer led Northrop Grumman鈥檚 Cyber & Intelligence business as its general manager and vice president, operationalizing leading edge technologies ahead of market shifts and to address global mission changes. Before that, she was the vice president of Northrop Grumman鈥檚 Integrated National Systems Space ISR Systems division.

Before she joined the private sector, Jennifer spent 15 years with the National Security Agency (NSA) where she completed her public service career as the NSA鈥檚 top acquisition executive and a key player in the U.S. Comprehensive National Cyber Initiative. During her tenure at NSA, she was a member of the Intelligence Community Acquisition Council and the Department of Defense Senior Integration Group.

Jennifer earned a bachelor鈥檚 degree in computer science from the University of Maryland, Baltimore County (UMBC). She鈥檚 been recognized for her achievements at the NSA and the intelligence community with the National Intelligence Superior Service Medal and multiple Presidential Rank Awards. Jennifer has served on the board of the Intelligence and National Security Alliance and currently serves on the Advisory Board for the UMBC College of Engineering and Information Technology.

CHANTILLY, VA, December 4, 2024 鈥 爱神传媒 (NYSE:AMTM) announced today that West Valley Cleanup Alliance, LLC (WVCA), a BWXT Technical Services Group-led joint venture that includes Jacobs Technology, an 爱神传媒 company, and Geosyntec Consultants, Inc, has been awarded the West Valley Project Phase 1B Deactivation & Demolition contract. 爱神传媒 will bring advanced environmental capabilities to safely clean up the West Valley Demonstration Project (WVDP) in western New York state.

鈥淲ith our extensive experience bringing advanced technical solutions such as UAV, robotics, sensors, telematics, and other digital tools to safely decommission nuclear facilities, we are pleased to be selected as the Department of Energy鈥檚 partner,鈥 said Steve Arnette, 爱神传媒鈥檚 Chief Operating Officer. 鈥湴翊 and our partners have a successful track record addressing deactivation and decommissioning challenges and we look forward to partnering with our DOE client, regulators, and community stakeholders to further advance the cleanup mission at the West Valley Demonstration Project.鈥

The scope of this contract includes disposal of low level, radioactive and transuranic waste; soil remediation; decontamination and decommissioning of underground high level waste tanks, facilities and any material used in connection with the project; and eventual transport of solidified waste to a federal repository for permanent disposal.

The U.S. Department of Energy (DOE) single-award IDIQ contract has a maximum value of up to $3 billion over a 10-year ordering period. Performance of task orders issued before the end of the contract ordering period shall not exceed five years beyond the end of the contract ordering period.

The West Valley Demonstration Project is an approximate 150-acre area located 35 miles south of Buffalo, New York. The site is owned by the New York State Energy Research and Development Authority and is home to the only commercial spent nuclear fuel reprocessing facility to operate in the United States. 爱神传媒 and its legacy companies have supported the DOE鈥檚 office of Environmental Management WVDP cleanup program since 1982.

鈥淒arren brings over two decades of experience in proven strategies designed to attract and motivate top talent to thrive in competitive and disruptive business environments,鈥 said John Heller, Chief Executive Officer of 爱神传媒. 鈥淲e welcome him to our senior leadership team where he will play an integral role leading the employee experience through talent management, employee engagement, and performance development.鈥

Most recently, Darren served as the chief people officer at Eightfold AI, an AI-based talent intelligence platform provider. CHANTILLY, VA., November 20, 2024 鈥 The Kingdom of the Netherlands has selected 爱神传媒 (NYSE: AMTM) to evaluate options for expanding the country鈥檚 nuclear power capacity. As part of its strategy to reduce carbon emissions and strengthen energy security, the Dutch government has announced preliminary plans to build two new pressurized water reactors by 2035 with a total capacity of up to 1650 Mwe, enough to meet up to 13% of the country鈥檚 electricity needs.

鈥淭his important contract advances our growth strategy by taking us into a new country and plays to many of our strengths,鈥 said Andy White, Senior Vice President of 爱神传媒 Energy & Environment International. 鈥淲e are technology agnostic, so we are able to apply our experience of nuclear new build programs in the UK, Poland and the United Arab Emirates, along with our extensive technical knowledge to assess the compatibility of reactor designs within the specific Dutch context.鈥

The Dutch government鈥檚 Ministry of Climate Policy and Green Growth has received technical feasibility studies and market consultations from three potential reactor vendors.

The ministry has appointed 爱神传媒 to carry out a full review of this information, to provide independent advice on the technical and market viability of constructing two nuclear power plants, and to deliver advisory input to enable an informed decision on design and financing.

The feasibility study review will be led by 爱神传媒鈥檚 subject matter experts, supported by CMS Lawyers, PA Consulting and ENCO nuclear consultants.

Currently, the Netherlands has the lowest generating capacity of any nuclear-powered nation in Europe. Its sole 482-MWe pressurized water reactor at Borssele, a coastal town in Zeeland, was built by Siemens and has been operational since 1973.

CHANTILLY, VA., September 27, 2024 鈥 爱神传媒 (the 鈥淐ompany鈥), today announced the completion of its merger with Jacobs Solutions Inc.鈥檚 (鈥淛acobs鈥) Critical Mission Solutions and Cyber and Intelligence businesses. The combination creates a global leader in advanced engineering and innovative technology solutions, well positioned to address its customers鈥 most significant and complex challenges. 爱神传媒 will begin regular-way trading on the New York Stock Exchange (鈥淣YSE鈥) on Monday, September 30, under the ticker symbol 鈥淎MTM.鈥 The executive team of the Company is also scheduled to ring the Opening Bell at NYSE the following day, Tuesday, October 1.

The new executive leadership team will be led by John Heller, who will serve as Chief Executive Officer and on the Company鈥檚 Board. Dr. Steve Arnette will serve as Chief Operating Officer, Travis Johnson as Chief Financial Officer and Jill Bruning as Chief Technology Officer of 爱神传媒. Steve Demetriou will serve as Executive Chair of the Company鈥檚 Board. The Company has also appointed a highly qualified and diverse board of directors, who bring significant public company leadership and government sector experience, as well as extensive operational, financial and capital markets experience.

Upon the closing of the transaction, Jacobs鈥 shareholders will own 51.0% and Jacobs will own 7.5% of the Company鈥檚 common shares. An additional 4.5% of the Company鈥檚 common shares (the 鈥渃ontingent consideration鈥) will be placed in escrow and released in the future depending on the achievement of certain fiscal year 2024 operating profit targets by Jacobs鈥 Critical Mission Solutions and Cyber & Intelligence government services businesses. To the extent Jacobs becomes entitled to contingent consideration, the first 0.5% of the outstanding and issued shares of 爱神传媒 will be released from escrow and delivered to Jacobs. Any further contingent consideration to which Jacobs may become entitled will be distributed on a pro rata basis to Jacobs鈥 shareholders as of a record date to be determined in the future. Any shares of contingent consideration which Jacobs does not become entitled to receive will be released from escrow and delivered to the former equity holder of 爱神传媒.

CHANTILLY, VA; September 23, 2024 鈥 爱神传媒, a global leader in engineering and technology solutions, has announced its board of directors effective upon the close of the pending merger with Jacobs鈥 Critical Mission Solutions and Cyber and Intelligence businesses, expected to be completed after markets close on September 27, 2024.

鈥淥ur impressive board is comprised of well-respected industry and business leaders who understand what it takes to address our world鈥檚 most complex problems and opportunities,鈥 said Steven J. Demetriou, who is slated to become the executive chair of 爱神传媒 upon closing. 鈥淭his board will ensure strategic alignment and execution against 爱神传媒鈥檚 mission of bringing advanced engineering and technology solutions to the most significant challenges in science, security and sustainability.鈥

The Board will be made up of the following leaders. Those who currently serve on Jacobs鈥 board of directors are expected to resign from those roles prior to or upon the close of the transaction. Those who currently serve on the board of managers of the general partner of 爱神传媒 Joint Venture LP, the limited partnership that, prior to the close of the transaction, is the sole equityholder of 爱神传媒, are expected to resign from those roles prior to or upon the close of the transaction.

Steven J. Demetriou.  Mr. Demetriou has served on Jacobs鈥 board of directors since 2015, when he joined the company as chief executive officer. In 2016, he became chair and chief executive officer of Jacobs. In 2023, upon retiring as chief executive officer, he continued as the executive chair of Jacobs鈥 board of directors. Mr. Demetriou brings international business perspectives and more than 35 years of experience in leadership and senior management roles, including over 20 years in the role of chief executive officer.

John Heller.  Mr. Heller has been the chief executive officer of 爱神传媒 and a non-voting member of the board of managers of the general partner of 爱神传媒 Joint Venture LP since 2022. Previously, Mr. Heller served as the president and chief executive officer of PAE and predecessor companies. A West Point graduate and former U.S. Army officer, Mr. Heller also served in senior roles at Engility Corporation and Harris Corporation. Mr. Heller brings more than 39 years of leadership experience in providing technology and management services to governments worldwide to our board of directors, including over 14 years in the role of chief executive officer.

General Vincent K. Brooks (U.S. Army, Retired). General Brooks is a principal at WestExec Advisors and has served on the Jacobs board of directors since 2020. He is also a director of Verisk and he is the chair of the nominating and corporate governance committee of Diamondback Energy Inc. Previously, he served as a聽four-star general in the U.S. Army, retiring in 2019. His areas of expertise from a 44-year military career include leadership in complex organizations, inclusion and diversity, national security, international relations, military operations, combating terrorism, and countering the proliferation of weapons of mass destruction.

Benjamin Dickson.  Mr. Dickson is a managing director at American Securities LLC. In addition to serving as a voting member of the board of managers of the general partner of 爱神传媒 Joint Venture LP, he serves on the board of directors of several current American Securities LLC portfolio companies, including serving as chairman of the board of directors of NAPA and SimonMed and as a director of The Aspen Group. Mr. Dickson brings more than 18 years of private equity investing and director experience to our board of directors.

General Ralph E. Eberhart (U.S. Air Force, Retired). General Eberhart has been on the board of directors of Jacobs since 2012. He has served as the chair of the board of VSE Corporation since 2019 and has served on its board since 2007. He also serves on the board of Segs4Vets. He is a member of the Council of Foreign Relations and the Colorado Thirty Group. Previously, he served as a general officer in the U.S. Air Force and also served as vice chief of the U.S. Air Force. During his 36-year military career, General Eberhart served as Commander of the U.S. Northern Command, North American Aerospace Defense Command, U.S. Space Command, Air Force Space Command, Air Combat Command, and U.S. Forces, Japan.

Alan E. Goldberg.  Mr. Goldberg is the co-founder and the chief executive officer of Lindsay Goldberg, a position he has held since the firm鈥檚 inception in 2001. Previously, he held several leadership positions at Morgan Stanley, including serving as chairman and chief executive officer of Morgan Stanley Private Equity. Mr. Goldberg has extensive experience serving on the boards of directors of private and public companies, including most recently for Reign Research Holdings and Stelco Holdings Inc. (TSX: STLC).

Leslie Ireland. Ms. Ireland has served as a director of Citigroup Inc. since October 2017. She also serves on the Chubb Cyber advisory board advising Chubb鈥檚 CEO and senior management team. Previously, she served as the Assistant Secretary of the Treasury for Intelligence and Analysis and the DNI National Intelligence Manager for Threat Finance. Before joining the U.S. Department of the Treasury in 2010, she was the President鈥檚 Daily Intelligence Briefer for President Barack Obama. She also served as the Iran Mission Manager, responsible for overseeing the intelligence process on Iran for the entire U.S. government. Additionally, she served as a partner in PwC鈥檚 national office working with the Securities and Exchange Commission and clients as they accessed the capital markets and responded to regulatory requirements. Ms. Loughran brings more than 35 years of global experience working with Fortune 500 executives and boards as they navigated strategic, transformational and operational issues.

Sandra E. Rowland. Ms. Rowlandis currently on the board of directors and the audit and human resources committees of Oshkosh Corporation. She also serves as board member and chair of the audit committee of Fortifi Food Processing Solutions, a portfolio company of KKR & Company Inc. Until 2023, Ms. Rowland served as senior vice president and chief financial officer of Xylem Inc. a leading water technology company, where she played a central role in the company鈥檚 $7.5 billion acquisition and integration of Evoqua Water Technologies Corp. Chantilly, VA, August 13, 2024 鈥 爱神传媒, a global leading engineering and technology solutions provider, is pleased to host its capital markets day at the New York Stock Exchange in New York City. A live webcast of the event will begin at 10:00 a.m. ET today, and a full copy of the presentation materials will be available following the event on the investor relations section of 爱神传媒鈥檚 website.

During the presentation, members of the executive leadership team will discuss the company鈥檚 strategy and financial outlook.
